Rokas (Skopje) concluded successfully in May, 2016 the project, entrusted to the firm by Alpha Bank – a leading banking institution in Greece – of acting as the vendor’s legal consultant in the sale process of its wholly owned subsidiary in FYR of Macedonia.
The project involved the total share capital of Alpha Bank AD Skopje being acquired by Silk Road Capital following receipt of all applicable regulatory approvals. The purchaser is a company owned by Swiss private investor specializing in investing in the financial sector of the region and have been doing so successfully over the past 12 years including an earlier investment in a local bank. The Bank, under the new ownership, will continue its business as usual while the use of Alpha Bank trademarks will be maintained for a limited time period under a temporary licensing agreement.
Rokas (Skopje) had been involved in all stages of the project from its design and tender process up to the final negotiations of the relevant SPA documentation and the eventual closing of the deal with the selected investor/purchaser. Further to M&A and corporate law issues, regulatory / licensing, banking operations and IT issues have been also addressed by the firm’s M&A legal team.
