Our banking and finance team advises clients on the formation and operation of banking and stock market companies, stock exchange listings, public offerings and private placing of securities, corporate finance, including in M&As, real estate financing, asset financing and leasing, investment funds, including listed funds and offshore funds, investment structures, venture capital funds, project financing, cross-border financing, banking regulation, compliance, contract/ lending drafting and litigation.

We have longstanding, extensive experience on OTC derivative contracts (under ISDA & under Greek law both interbank and with clients), repurchase agreements (GMRA), securities lending (GMSLA);  also, in the field of Greek and international banking and financing transactions and restructurings thereof, structured finance / project finance loans and transactions with large corporate clients. We advise regularly on EU & Greek Banking /Securities Regulations, Investment Banking mandates and placements, private banking agreements, Payment Services contracts, UCITS distribution agreements, Liability Management Exercise & Recapitalisation projects and several projects with respect to the sale/servicing of NPEs/NPLs. We are further able to advise on EFSF/ESM Bond Exchange Programmes, and on the issuance of Eurobonds Programmes. In addition, we provide guidance as to BREXIT-related financial services issues and we draft relevant agreements on MiFID II, MiFIR and PRIIPs Regulation. In addition, we have represented foreign-based banks in international arbitration proceedings and undertaken several due diligence exercises for the listing of companies with the Athens Stock Exchange.

In this context, Rokas has acted as legal counsel in mergers of global player insurance companies as well as in M&As for large banking groups; has advised banks on corporate governance regulations; and has advised on consumer and sensitive data protection issues in retail banking issues.
